Terms and Conditions of Use

BY ENTERING AND USING THE SERVICES OFFERED ON THIS WEB SITE (DOMAIN NAME: supplier.asur.com.mx), WHICH IS THE PROPERTY OF AEROPUERTOS DEL SURESTE, YOU (THE USER) THEREBY ACCEPT THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, AND SHALL BE CONSIDERED TO HAVE PROVIDED AN EXPRESS STATEMENT OF SAID ACCEPTANCE.

SHOULD THE USER NOT FULLY ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT, HE OR SHE MUST REFRAIN FROM ENTERING OR USING supplier.asur.com.mx.

IN THE EVENT THAT THE USER CONTINUES TO USE supplier.asur.com.mx, SAID ACTION SHALL BE CONSIDERED AS FULL ACCEPTANCE OF THE TERMS AND CONDITIONS ESTABLISHED IN THE FOLLOWING:

AGREEMENT FOR INTERNET SITE USE, ENTERED INTO ON THE ONE HAND BY AEROPUERTOS DEL SURESTE, AND ON THE OTHER BY THE USER, WITH BOTH PARTIES BEING SUBJECT TO THE TEXT OF THIS AGREEMENT.

License

1. AEROPUERTOS DEL SURESTE hereby grants the User the non-exclusive, revocable and non-transferable right to use and view supplier.asur.com.mx, in accordance with the terms and conditions set forth in this Agreement.
2. The User may only transmit, print and/or copy any information contained in or published on supplier.asur.com.mx for his or her personal use, and not for commercial purposes.
3. The User is strictly prohibited from reprinting, republishing, distributing, assigning, sublicensing, selling or reproducing – whether by electronic or any other means – any documentary or graphic information obtained from supplier.asur.com.mx, in whole or in part, for any use other than personal, non-commercial purposes, unless said party has obtained prior, written authorization from AEROPUERTOS DEL SURESTE.

Rules for Use of supplier.asur.com.mx

The User and AEROPUERTOS DEL SURESTE hereby agree that the use of supplier.asur.com.mx shall be subject to the following rules:

One. Information Contained on supplier.asur.com.mx

All the information contained or published on supplier.asur.com.mx is produced by AEROPUERTOS DEL SURESTE or obtained from information suppliers (the “Suppliers”). It is presented in a summarized format, and is intended to inform the User about AEROPUERTOS DEL SURESTE, the activities of the company, its financial reporting, the airport services rendered in the southeast of the Mexican Republic and the climatic conditions in this region of Mexico, amongst other things. The information contained in or published through supplier.asur.com.mx should not in any way be considered as complete or definitive with reference to the topic in hand, and must not be used as such by the User.

The information, concepts and opinions published on supplier.asur.com.mx do not necessarily reflect the position of AEROPUERTOS DEL SURESTE or that of any of its employees, officers, directors, shareholders, license-holders or concession-holders (hereafter the “Affiliates”). Consequently, AEROPUERTOS DEL SURESTE does not accept responsibility for any information, opinions or concepts published on supplier.asur.com.mx.

AEROPUERTOS DEL SURESTE reserves the right to block access to or remove, in full or in part, any information, correspondence or material that, at its sole discretion, it considers might be: (i) abusive, defamatory or obscene, (ii) fraudulent, deceptive or misleading, (iii) an infringement of copyrights, trademarks or any other intellectual property rights corresponding to a third party, (iv) offensive or (v) a contravention, in any way, of the terms and conditions set forth in this Agreement.

Should the User wish to obtain further information regarding a specific subject mentioned by AEROPUERTOS DEL SURESTE or by the Suppliers, the User must approach each of these individual parties directly, as applicable, provided that consultations of this nature are permitted.

Two. Privacy Policy Concerning Use of Information and Database

AEROPUERTOS DEL SURESTE may obtain information of two types through supplier.asur.com.mx:

Personal information (“Personal Information”) is data that personally identifies the User. It may include, amongst other things, the User’s name, the name of the company where he or she works and his or her residential or work address, zip code, electronic mail address and home or work telephone number.

Aggregate information (“Aggregate Information”) is data that does not personally identify the User and merely describes his or her demographic details and usage patterns with reference to supplier.asur.com.mx. The User recognizes and accepts that Aggregate Information is useful in diagnosing server problems and difficulties in the administration of supplier.asur.com.mx.

The Aggregate Information and Personal Information obtained from the User through his or her use of supplier.asur.com.mx shall constitute a database (hereafter the “Database”) that shall be the property of AEROPUERTOS DEL SURESTE. Said information shall be stored in order to protect it and avoid it being lost, improperly used or altered. Notwithstanding the foregoing, AEROPUERTOS DEL SURESTE does not in any way guarantee the safety thereof, nor does it guarantee that the information will not be intercepted by third parties.

The User recognizes and accepts that AEROPUERTOS DEL SURESTE cannot obtain Personal Information automatically, and that this may only be acquired if the User provides the data in question directly through supplier.asur.com.mx or by other means. The User is entirely free to exercise his or her discretion as to whether or not to provide Personal Information, and AEROPUERTOS DEL SURESTE shall incur no liability with regard to this matter.

In all cases, the User hereby authorizes AEROPUERTOS DEL SURESTE, in the widest sense legally permitted, to use any Personal Information and Aggregate Information for the following purposes: (i) in order to resolve disputes or disagreements concerning supplier.asur.com.mx and in the handling of any breach of the terms of this Agreement; (ii) to allow AEROPUERTOS DEL SURESTE to operate correctly; and (iii) under any circumstances where said use is required by law.

Three. Copyrights and Intellectual Property Rights

ASUR, AEROPUERTOS DEL SURESTE and supplier.asur.com.mx are registered trademarks, domain names and trade names belonging to AEROPUERTOS DEL SURESTE, and as such are protected by international treaties and the applicable legislation concerning intellectual property rights and copyrights.

The copyrights regarding the content, organization, collection and compilation of information, magnetic or electronic transmission, digital conversion, logos, programs, applications and in general any information contained in or published on supplier.asur.com.mx are duly registered in the name of AEROPUERTOS DEL SURESTE, its Affiliates, Suppliers and/or their respective owners, in accordance with the applicable legislation concerning intellectual and industrial property rights.

The User is expressly forbidden from modifying, altering or deleting, in part or in full, any advertisements, trademarks, trade names, indications, announcements, logos or in general any instructions relating to the ownership of the information contained in supplier.asur.com.mx.

Should the User transmit any information, programs, applications, software or in general any material that he or she wishes to license through supplier.asur.com.mx to AEROPUERTOS DEL SURESTE, the User shall thereby grant AEROPUERTOS DEL SURESTE a permanent, free, non-exclusive, worldwide license that is royalty-free. Amongst the rights granted, said license shall include the right to sublicense, sell, reproduce, distribute or transmit the material in question, as well as the right to create derivations thereof and exhibit or demonstrate them publicly.

The provisions of the preceding paragraph shall be equally applicable to any other information that the User sends or transmits to AEROPUERTOS DEL SURESTE (including, with no restrictions of any nature, ideas for the renovation or improvement of the site supplier.asur.com.mx), even in the event that said data is entered into any part of supplier.asur.com.mx through other means or methods of transmission, whether currently existing or developed in the future.

Pursuant to the foregoing, the User hereby expressly waives the right to bring legal action or to submit a claim against AEROPUERTOS DEL SURESTE, its Affiliates or Suppliers as a result of any existing or possible violation of any copyrights or intellectual property rights relating to any information, programs, applications, software, ideas and other material that the User sends to supplier.asur.com.mx.

Four. Publicity Material

The User recognizes and accepts that AEROPUERTOS DEL SURESTE is a corporation that is independent of any third-party sponsors and advertisers whose information, images, advertisements and other publicity or promotional material (the “Publicity Material”) is published on supplier.asur.com.mx.

The User recognizes and accepts that the Publicity Material does not form part of the main content published on supplier.asur.com.mx. Similarly, the User hereby recognizes and accepts that the Publicity Material is protected by any applicable legislation regarding intellectual and industrial property rights.

Five. Absence of Guarantees

The User agrees that he or she uses supplier.asur.com.mx at his or her own risk, and that the products and services offered on supplier.asur.com.mx are provided on an “as seen” and “subject to availability” basis. AEROPUERTOS DEL SURESTE does not guarantee that supplier.asur.com.mx will satisfy the requirements of the User, or that the services of supplier.asur.com.mx will be provided uninterruptedly, on time, safely or free from error.

The information contained in and/or published through supplier.asur.com.mx is intended exclusively for the purposes of providing general information regarding the services offered by AEROPUERTOS DEL SURESTE. Any opinions or advice contained in supplier.asur.com.mx, although issued by professionals in different fields, are not intended to replace personalized advice or consultations based on the specific needs of the User. The application, use or interpretation of any opinion published on or through supplier.asur.com.mx is the sole responsibility of the User.

AEROPUERTOS DEL SURESTE accepts no responsibility whatsoever for the way in which the User uses the information contained in or published on or through supplier.asur.com.mx.

Six. Accuracy or Truthfulness of the Information Available On or Through supplier.asur.com.mx for Any Purpose

AEROPUERTOS DEL SURESTE does not in any way guarantee or endorse the truthfulness, accuracy, lawfulness or morality, or any other aspect, of the contents of the Publicity Material published on supplier.asur.com.mx.

AEROPUERTOS DEL SURESTE is exempted from any guarantees, liability and conditions, whether expressly stated or implicit, including, with no restrictions of any nature, (i) commercial guarantees, (ii) guarantees of applicability for specific purposes, (iii) certification guarantees and (iv) guarantees of non-violation, in relation to the products, services and information contained in or available on or through supplier.asur.com.mx, including, with no restrictions:

The availability of supplier.asur.com.mx for consultation; the absence of viruses, errors, deactivators or any other material that is contaminating or produced to destructive ends contained in the information or programs available on or through supplier.asur.com.mx, or in general, any faults in supplier.asur.com.mx.

In addition to the foregoing, AEROPUERTOS DEL SURESTE or its Suppliers may constantly update the content of supplier.asur.com.mx, and the User is therefore requested to take into account that any information contained in or published on or through supplier.asur.com.mx may be out of date and/or contain inaccuracies or typographical errors.

Seven. Liability Limitations

Insofar as is permitted by the legislation in force, AEROPUERTOS DEL SURESTE shall not be held liable under any circumstances for any direct, special, incidental, indirect or consequential damages in any way arising from or related to:

• The use of supplier.asur.com.mx;
• Delays in the availability or lack of availability of supplier.asur.com.mx;
• The rendering or lack of rendering of the services relating to any information, graphic or otherwise, contained in or published on or through supplier.asur.com.mx;
• The updating or failure to update information, or
• Any modifications or alterations to information, in full or in part, following the inclusion thereof on supplier.asur.com.mx.

Eight. Modifications to supplier.asur.com.mx

At any time, and whenever it is deemed appropriate, AEROPUERTOS DEL SURESTE may make corrections, additions, improvements or modifications to the content, presentation, information, services, sections, databases and all other elements of supplier.asur.com.mx. AEROPUERTOS DEL SURESTE shall not be obliged to provide prior notice thereof to the User, and the latter shall not be entitled to submit claims or request compensation as a result of any such alterations, nor shall these imply any recognition of liability before the User.

Nine. Amendments to the Agreement

AEROPUERTOS DEL SURESTE reserves the right to amend the terms and conditions of this Agreement at any moment. Any such amendments shall become effective immediately:

Through publication on supplier.asur.com.mx of the amended agreement, or

Through notification to the User of said amendments.

The User hereby agrees to review this Agreement periodically in order to keep abreast of any such amendments. Notwithstanding the foregoing, each time the User enters supplier.asur.com.mx, this action alone shall be considered to imply full acceptance of the amendments to the Agreement.

Ten. Additional Terms

Occasionally AEROPUERTOS DEL SURESTE may add supplementary provisions regarding specific areas or new services offered on or through supplier.asur.com.mx to the terms and conditions of this Agreement (the “Additional Terms”). These shall be published in the sections on the specific areas or new services of supplier.asur.com.mx in order for them to be read and accepted. The User recognizes and accepts that said Additional Terms form an integral part of this Agreement in all legal aspects.

Eleven. Transfer of Rights

AEROPUERTOS DEL SURESTE may, at any time and whenever it is deemed appropriate, transfer all or part of the rights and obligations arising under this Agreement.

As a result of any such transfer, AEROPUERTOS DEL SURESTE shall be exempted from any obligations before the User that it may have assumed hereunder.

Twelve. Compensation

The User hereby agrees to compensate AEROPUERTOS DEL SURESTE, its Affiliates, Suppliers, Vendors and Advisors for any legal action, claim or lawsuit (including lawyers’ fees and court costs) arising from any breach of this Agreement by the User. The foregoing shall include, with no restrictions, any such legal action arising from:

• Any aspect related to the use of supplier.asur.com.mx;
• The information contained in or available on or through supplier.asur.com.mx;
• Insulting or defamatory comments by the User, or any other action by said party that breaches the terms of this Agreement, when using supplier.asur.com.mx, and
• The violation of the applicable laws or international treaties concerning the copyrights and intellectual property rights of the information contained in or available on or through supplier.asur.com.mx.

Thirteen. Termination

AEROPUERTOS DEL SURESTE reserves the right, at its sole discretion and with no obligation to provide notice to the User, to:

• Terminate this Agreement definitively, and
• Discontinue or cease to publish supplier.asur.com.mx definitively, without incurring any liability for AEROPUERTOS DEL SURESTE, its Affiliates or Suppliers.

Fourteen. Continuity

The terms and conditions set forth herein, along with the Additional Terms, constitute the entire agreement between the parties and substitute any agreements or contracts they may have entered into previously. In the event that any clause or provision of this Agreement or of the Additional Terms is declared invalid, AEROPUERTOS DEL SURESTE shall choose whether to eliminate it or amend it in order to remedy the respective error or defect.

Nonetheless, all other clauses or provisions shall remain in force, with the same degree of obligation and validity.

Fifteen. Applicable Legislation and Jurisdiction

This Agreement shall be subject to and interpreted according to the laws in force in the Federal District of Mexico City, whose courts shall be competent to hear any matters relating hereto. Nonetheless, in the event of a claim or legal action brought before the courts of another jurisdiction, this Agreement shall be subject to and interpreted according to the legislation of said jurisdiction, where the laws in force shall be applicable.

Sixteen. Non-Waiver of Rights

The failure of AEROPUERTOS DEL SURESTE, its Affiliates or Suppliers to exercise any right or take any action in relation to this Agreement must under no circumstances be interpreted as a waiver of the rights or courses of action in question.

Seventeen. Correspondence

AEROPUERTOS DEL SURESTE shall receive any correspondence related to the use of supplier.asur.com.mx or concerning this Agreement at its offices located at: Carretera Cancún – Chetumal Km 22, Cancún Quintana Roo, or by e-mail at the following address: vmadrid@asur.com.mx
